If these terms and conditions are considered an offer by Data Reports, acceptance is expressly limited to these terms. ACCESS TO DATA REPORTS ACCOUNT

   Data Reports may change, suspend or discontinue the Services at any time, including the availability of any feature, database, or content. Data Reports may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability.

You certify that it is legally permitted to use the Service, and take full responsibility for the selection and use of the Service. This Agreement is void where prohibited by law, and the right to access the Service is revoked in such jurisdictions.

You shall be responsible for obtaining and maintaining any equipment or ancillary services needed to connect to, access the Service, including, without limitation, modems, hardware, software, and long distance or local telephone service. You shall be responsible for ensuring that such equipment or ancillary services are compatible with the Service.

RESTRICTIONS

   You shall not, nor permit anyone else to, directly or indirectly: (i) reverse engineer, disassemble, decompile or otherwise attempt to discover the source code or underlying algorithms of all or any part of the Service (except that this restriction shall not apply to the limited extent restrictions on reverse engineering are prohibited by applicable local law); (ii) modify or create derivatives of any part of the Service; (iii) rent, lease, or use the Service for timesharing or service bureau purposes; or (iv) remove or obscure any proprietary notices on the Service.

You shall not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Service or Data Reports\'s systems or networks, or any systems or networks connected to the Service or to Data Reports.

 

You shall not use any device, software or routine to interfere or attempt to interfere with the proper working of the Service or any transaction being conducted on the Service, or with any other person\'s use of the Service.

 

You shall not use the Service or any Content for any purpose that is unlawful or prohibited by this Agreement.

FEES AND PAYMENTS

Optional premium paid services are available on the Website. By selecting a premium service you agree to pay Data Reports the monthly or annual recurring subscription fees indicated for that service. Payments will be charged on the day you sign up for a premium service and will cover the use of that service for one month or one year as indicated. Your credit card will be charged in the beginning of every subsequent billing cycle on a monthly or yearly basis. Premium service fees are not refundable.

 

REGISTRATION

   As a condition to using certain products and services of the Service, you may be required to register with Data Reports and select a password. You shall provide Data Reports with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of this Agreement, which may result in immediate termination of your account. Data Reports reserves the right to refuse registration of, or cancel an Data Reports account in its discretion. You shall be responsible for maintaining the confidentiality of your Data Reports password and other account information.

OWNERSHIP

   The Website and Service are protected by copyright, trademark, and other laws of Ireland and foreign countries. Data Reports and its licensors exclusively own all right, title and interest in and to the Data Reports Website and Service, including all associated intellectual property rights. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Data Reports Website and Service.

 

CONTENT

   You agree that all content and materials (collectively, "Content") delivered via the Service or otherwise made available by Data Reports at the Website are protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws.

INTERNATIONAL USE

   Data Reports makes no representation that the Content, the Website or the Service are appropriate for access or use outside of Ireland, and accessing the Service is prohibited from territories where such Content is illegal. DISPUTE RESOLUTION

   This agreement shall be governed in accordance with the laws of the Republic of Ireland. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to this agreement or your use of the Website or Service shall be filed only in the Republic of Ireland and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action. Use of the Service is not authorized in any jurisdiction that does not give effect to all provisions of this agreement.

Neither Data Reports nor its suppliers and licensors, makes any warranty that the Website or the Service will be error free or that access thereto will be continuous or uninterrupted of that the information or data provided by Data Reports Service will be accurate. You understand that you download from, or otherwise obtain content or services through, the Website or the Service at your own discretion and risk.

PRIVACY

INDEMNIFICATION

   You agree to indemnify and hold harmless Data Reports, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorney\'s fees, arising out of your use of the Website or Service, including but not limited to out of your violation this agreement.

ASSIGNMENT

   You may not assign or transfer this Agreement, by operation of law or otherwise, without Data Reports’s prior written consent. Any attempt by you to assign or transfer this Agreement, without such consent, will be null and of no effect. Data Reports may assign or transfer this Agreement, at its sole discretion, without restriction.
